Acceptance
We may, in our sole discretion, refuse to accept all or part of any order made.  If we reject an order we will generally notify you within 10 working days and we will refund the payment you made.

Delivery
Orders delivered outside New Zealand will be delivered DDU (Incoterms 2000) to the delivery address specified in the order.  Orders delivered inside New Zealand will be delivered to the address specified in the order. 

Goods will generally be despatched from our premises within 10 working days of the date of their order.  For large or custom orders, we will generally advise you of the estimated dispatch date within 10 working days of the date of their order.  If the expected dispatch date is not reasonably acceptable to you, you may cancel the order within 7 days of that advice and we will refund all payments you made for the cancelled order.

If goods are lost or damaged during delivery, we will ship replacements or provide a full refund for the lost goods, as soon as reasonably practicable.

We will use reasonable efforts to complete such documentation and declarations as are reasonably required in relation to any goods dispatched outside New Zealand. We will not be responsible for any tax or duty resulting from such documentation or declaration, including where a commodity declaration results in an import duty. Where, in response to your request, we include any information within any documentation or declaration, you will hold us harmless from all costs liabilities arising from such inclusion.

Product quality
We will provide a Certificate of Analysis with all glycosidase inhibitors and all goods sold in mg quantities.  Purity criteria include satisfactory elemental analysis, melting point and ¹H and ¹³C NMR spectra.

Other products are sold as 95+% pure on the basis of satisfactory ¹H and ¹³C NMR spectra.

Product safety
We will provide a Materials Safety Data Sheet with all goods.  You must use the goods in accordance with its instructions.

Purpose of use
THE GOODS ARE INTENDED FOR LABORATORY RESEARCH PURPOSES ONLY AND NOT FOR ANY OTHER PURPOSES INCLUDING USE IN THE PREPARATION OF FOOD OR PHARMACEUTICAL PRODUCTS OR TESTING ON OR CONSUMPTION BY HUMANS.

Returns
Any claim for faulty, damaged or incorrectly delivered goods must be received by us within 14 days of receipt. We will not be obliged to honour any claims received after this time.

Price and payment
Prices are in US dollars.  If payment is not made in advance, payment is to be made on the 20th of the following month, from the date of the invoice.

A minimum charge of US$250.00 plus shipping charges applies. Shipping charges for international orders are US$95.00 and for New Zealand orders NZ$20.00.

Cancellation
Once placed, an order may only be cancelled with our agreement or as otherwise specified in these terms and conditions.

Warranty
WE WARRANT THAT OUR GOODS ARE OF MERCHANTABLE QUALITY AND MEET OUR PUBLISHED SPECIFICATIONS.  TO THE EXTENT ALLOWED BY LAW, ALL OTHER WARRANTIES OR GUARANTEES RELATING TO THE GOODS OR THEIR USE, ARE EXPRESSLY EXCLUDED.

Liability
TO THE EXTENT ALLOWED BY LAW, OUR LIABILITY TO YOU (WHETHER IN CONTRACT, TORT INCLUDING NEGLIGENCE, OR OTHERWISE) ARISING DIRECTLY OR INDIRECTLY IN CONNECTION WITH GOODS SUPPLIED BY US OR THEIR USE, IS LIMITED TO THE REPLACEMENT OF THE GOODS OR REFUND OF ANY MONEYS PAID FOR THE GOODS.  UNDER NO CIRCUMSTANCES WILL WE BE LIABLE FOR LOSS OF PROFITS, CONSEQUENTIAL LOSS OR OTHER INDIRECT LOSS OF ANY KIND.

Indemnity
YOU ASSUME ALL RISK AND LIABILITY FOR THE USE OF THE GOODS AND INDEMNIFY US AGAINST ANY LOSS, CLAIM OR EXPENSE WE MAY SUFFER OR INCUR AS A RESULT OF ANY USE OF THE GOODS BY OR THROUGH YOU.

Governing law
New Zealand law governs. New Zealand courts have non-exclusive jurisdiction.  The United Nations Convention on the International Sale of Goods does not apply to this Agreement.
